The download provides a fully functioning demo version of Hansen's TEC-BASE 2. The demo version can only be opened a limited number of times. The number of records you can create is also limited in the demo version. To unlock the software for extended use and records, you will need to purchase a serial number. Refer to the Price List for more details.

PLEASE READ THIS SOFTWARE LICENSE AGREEMENT CAREFULLY BEFORE DOWNLOADING OR USING THE SOFTWARE. BY CLICKING ON THE "ACCEPT" BUTTON, OPENING THE PACKAGE, DOWNLOADING THE PRODUCT, OR USING THE EQUIPMENT THAT CONTAINS THIS PRODUCT, YOU ARE CONSENTING TO BE BOUND BY THIS AGREEMENT. Grant of License. In consideration of payment of the License Fee, Hansen Solutions, Inc. ("Licensor") grants to you, the Licensee, a non-exclusive, nontransferable right to use Hansen's TEC-BASE (the "Software"). You are licensed to use the Software to store a single data set on either a network accessible server or a single stand-alone computer. If you want to store additional data sets on either the same server or on additional servers you must obtain separate licenses. A "data set" is considered to include all of the records related to a single organization, such as a school, school district, corporation, or other organization. 2. Ownership of the Software. The Licensor owns and will retain all title, copyright, trademark and other proprietary rights in and to the Software. This license is not a sale of the Software or any copy of it. You, the Licensee, obtain only such rights as are provided in this Agreement. You understand and agree as follows: (a) You may make one copy of the Software in machine readable form solely for backup purposes. As an express condition of this License, you must reproduce on each copy any copyright notice or other proprietary notice that is on the original copy supplied by Licensor. (b) The Software contains trade secrets in its human perceivable form and, to protect them, you may not REVERSE ENGINEER, DECOMPILE, DISASSEMBLE OR OTHERWISE REDUCE THE SOFTWARE TO ANY HUMAN PERCEIVABLE FORM. YOU MAY NOT TRANSLATE, RENT, LEASE, LOAN OR CREATE DERIVATIVE WORKS BASED UPON THE SOFTWARE OR ANY PART THEREOF. You acknowledge that the Software, including the related documentation and any new releases, modifications and enhancements thereto, belongs to the Licensor, and that the Licensor retains all right, title and interest in and to the Software. You further acknowledge that the Software and information relating thereto constitute valuable trade secrets of the Licensor. You agree to comply with the terms and conditions of this Agreement and agree to treat the Software as the confidential and proprietary information of the Licensor. (c) You may modify database layouts, scripts, and HTML format files; however, applying future upgrades to the Software may negate any such modifications, and you are responsible to for reapplying the changes. (d) You may not remove any copyright, trademark, proprietary rights, disclaimer or warning notice included on or embedded in any part of the Software. (e) You may not sell, license, sublicense, rent or otherwise transfer the Software without the written permission of Licensor. 3. Termination. This license is effective until terminated. You may terminate this license at any time by destroying the program and documentation and the permitted backup copy. This license automatically terminates if you fail to comply with its terms and conditions. You agree that, upon such termination, you will destroy (or permanently erase) all copies of the program and documentation, and Sections 6, 7 and 8 will survive any termination. 4. Passwords. The Software licensed to you contains features which are protected by certain passwords. You are not authorized to enter, remove or change such passwords except as provided through the features built into the Software, and only Licensor is authorized to enter, remove or change such passwords by other means. 5. Export Law Assurances. You agree that neither the Software nor any direct product thereof is being or will be shipped, transferred or re-exported, directly or indirectly, into any country prohibited by the United States Export Administration Act and the regulations thereunder or will be used for any purpose prohibited by the Act. 6. Licensee's Responsibilities For Selection and Use of the Software. The Software is a tool that Licensor hopes you will find useful. Licensor does not, however, guarantee service results or represent or warrant that the Program will be completely error free. Furthermore, you are responsible for the supervision, management and control of the use of the Software, and output of the Software, including, but not limited to (a) selection of the Software to achieve your intended results; (b) determining the appropriate uses of the Software in your business; (c) establishing adequate independent procedures for testing the accuracy of the Software; and (d) establishing adequate backup to prevent the loss of data in the event of a Software malfunction. You hereby indemnify and hold harmless Licensor against any loss, liability, damages, costs or expenses suffered or incurred by the Licensor at any time as a result, of any claim, action or proceeding arising out of or relating to your use, operation or implementation of the Software. 7. Limited Warranty. (a) Subject to the other provisions in Sections ¬6 and 7 of this Agreement, Licensor warrants for a period of thirty (30) days from your date of purchase that (i) the media on which the Software is recorded will be free from defects in materials and workmanship under normal use, and (ii) the Software as provided by Licensor will substantially conform to Licensor's published specifications for the Software. Licensor does not warrant that the Software will be error free, nor that all program errors will be corrected. All requests for Software warranty assistance shall be directed to Licensor. Asserted errors must be documented by you to Licensor, detailing the error, describing how to recreate the error, and including, if available, sample output. (b) Licensor's warranty does not apply insofar as (a) any Software is subjected to misuse, neglect, accident or exposure to environmental conditions beyond those specified by Licensor; (b) the claims result from acts or omissions caused by persons other than Licensor or from products, material or software not provided by Licensor; or (c) you use Software that does not include all updates available from Licensor. (c) THE EXPRESS WARRANTY SET FORTH IN THIS SECTION 6 IS THE ONLY WARRANTY GIVEN BY LICENSOR WITH RESPECT TO ANY SOFTWARE FURNISHED HEREUNDER; LICENSOR MAKES NO OTHER WARRANTIES, EXPRESS, IMPLIED OR ARISING BY CUSTOM OR TRADE USAGE, AND SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF NONINFRINGEMENT, MERCHANTABILITY OR OF FITNESS FOR ANY PARTICULAR PURPOSE (EXCEPT DURING THE PERIOD OF THE EXPRESS WARRANTY STATED ABOVE). SAID EXPRESS WARRANTY SHALL NOT BE ENLARGED OR OTHERWISE AFFECTED BY LICENSOR'S RENDERING OF TECHNICAL OR OTHER ADVICE OR SERVICE IN CONNECTION WITH THE SOFTWARE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. 8. Limitation of Remedies and Damages. Licensor's entire liability and your exclusive remedy in connection with the use of the Software shall be that you are entitled to return the defective Software to the Licensor. At the option of the Licensor, you may receive replacement media containing the Software that conforms with the limited warranty or a refund of the amount paid by you. IN NO EVENT WILL LICENSOR BE LIABLE FOR ANY INDIRECT DAMAGES OR OTHER RELIEF ARISING OUT OF YOUR USE OR INABILITY TO USE THE PROGRAM INCLUDING, BY WAY OF ILLUSTRATION AND NOT LIMITATION, LOST PROFITS, LOST BUSINESS OR LOST OPPORTUNITY, OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF SUCH USE OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR, ITS LICENSORS OR AN AUTHORIZED LICENSOR DEALER, DISTRIBUTOR OR SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. THIS LIMITATION WILL NOT APPLY IN CASE OF PERSONAL INJURY ONLY WHERE AND TO THE EXTENT THAT APPLICABLE LAW REQUIRES SUCH LIABILITY. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. 9. General. This License will be construed under the laws of the Commonwealth of Massachusetts. If any provision of this License shall be held by a court of competent jurisdiction to be contrary to law, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this License will remain in full force and effect. This License constitutes the entire License between the parties with respect to the use of the Software. If the Software is supplied to the United States Government, the Software is classified as restricted computer software as defined in clause 52.227-19 of the FAR. The United States Governments rights to the Software are as provided in clause 52.227-19 of the FAR.
